These Terms of Service ("Terms") govern your access to and use of the RoastWorksLviv.com website at roastworkslviv.com (the "Website") and any wholesale supply, training or advisory services offered by RoastWorksLviv.com LLC ("RoastWorksLviv.com", "we", "us", "our"). By accessing the Website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use the Website or our services.

1. Acceptance of terms

By using this Website or placing an order for our products or services, you confirm that you are at least 18 years of age, have the authority to enter into a binding agreement on behalf of yourself or your business, and accept these Terms in full. These Terms apply to all visitors, users and wholesale partners.

2. Description of services

RoastWorksLviv.com LLC provides the following services:

• Wholesale coffee supply: Regular delivery of freshly roasted specialty coffee to cafes, restaurants, hotels and similar businesses in Ukraine.
• Custom blend development: Development of bespoke espresso or filter blends for wholesale partners meeting minimum volume thresholds.
• Barista and brewing training: On-site or in-roastery training sessions covering espresso technique, filter brewing, milk steaming and recipe development.
• Green coffee sourcing: Access to traceable green coffee lots for clients who wish to purchase unroasted beans.
• Retail bag programme: Branded or white-label retail packaging for sale at partner venues.

The specific terms of any wholesale supply agreement — including pricing, minimum orders, delivery schedules and payment terms — are agreed separately in writing between RoastWorksLviv.com and the partner.

3. Website use

You may use this Website for lawful purposes only. You agree not to:

• Use the Website in any way that violates applicable Ukrainian or international law or regulation.
• Transmit any unsolicited or unauthorised advertising or promotional material, spam or similar material.
• Attempt to gain unauthorised access to any part of the Website, the server on which it is hosted, or any server, computer or database connected to it.
• Introduce any virus, trojan horse, worm, keystroke logger or other malicious or harmful code.
• Scrape, copy or republish any content from the Website without our prior written consent.
• Conduct any systematic or automated data collection (scraping, data mining, data extraction) from the Website.

4. Orders and supply agreements

All wholesale orders are subject to acceptance by RoastWorksLviv.com. An order is confirmed only when we send you written confirmation via email. We reserve the right to decline any order, for example due to availability of a specific lot or failure to meet minimum order requirements.

Prices listed in any proposal are valid for 14 days from the date of issue. Pricing may change after this period due to fluctuations in green coffee commodity prices, logistics costs or exchange rates. RoastWorksLviv.com will notify partners of any price changes with a minimum of 14 days' notice before they take effect.

Delivery timescales quoted are estimates. While we make every effort to meet quoted delivery windows, we are not liable for delays caused by third-party couriers, customs, force majeure events or circumstances beyond our reasonable control.

5. Payment terms

Payment terms for wholesale partners are agreed at the time of onboarding and stated in each invoice. Standard terms are payment within 7 calendar days of invoice date unless otherwise agreed in writing. Late payment may result in suspension of deliveries until the outstanding balance is cleared. We reserve the right to charge statutory interest on overdue invoices in accordance with Ukrainian commercial law.

6. Intellectual property

All content on this Website — including text, photography, roast profiles, blend recipes, logos, brand assets and the RoastWorksLviv.com name — is the intellectual property of RoastWorksLviv.com LLC or is used under licence. Nothing in these Terms transfers any intellectual property rights to you.

Custom blends developed for a wholesale partner are proprietary to that partner for the duration of their active wholesale relationship. Upon termination of the relationship, the blend recipe remains the intellectual property of RoastWorksLviv.com unless a separate written assignment has been executed.

7. Disclaimers

The Website is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, RoastWorksLviv.com makes no warranties, express or implied, regarding the accuracy, completeness or fitness for purpose of the Website or its content. We do not guarantee that the Website will be available at all times or that it will be free from errors or viruses.

Information about coffee origins, certifications and flavour profiles is provided in good faith based on information supplied by our producers. Actual sensory characteristics may vary slightly between harvest lots due to the natural variability of agricultural products.

8. Limitation of liability

To the fullest extent permitted by applicable law, RoastWorksLviv.com and its directors, employees and agents shall not be liable for any indirect, incidental, consequential, special or punitive damages arising out of or related to your use of the Website or our services, even if we have been advised of the possibility of such damages.

Our total liability to you in connection with any single claim — whether in contract, tort (including negligence) or otherwise — shall not exceed the value of the specific order or service to which the claim relates, or UAH 10,000, whichever is lower.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded by law.

9. Product quality and claims

If you believe a delivery contains defective or incorrectly described goods, you must notify us in writing within 48 hours of receipt, providing a description of the issue and, where possible, photographic evidence. We will investigate promptly and, where a valid claim is established, arrange a replacement delivery or issue a credit note at our discretion.

10. Termination

Either party may terminate a wholesale supply arrangement by providing 30 days' written notice. We may terminate immediately and without notice if you materially breach these Terms, fail to make payment within the agreed terms, or engage in conduct that we reasonably consider damaging to RoastWorksLviv.com' reputation.

Upon termination, any outstanding invoices become immediately due and payable. Obligations that by their nature should survive termination — including those relating to intellectual property, confidentiality and limitation of liability — shall do so.

11. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of Ukraine. Any dispute arising from or relating to these Terms or the use of our services shall be subject to the exclusive jurisdiction of the competent courts of Ukraine, unless otherwise agreed in writing between the parties.

12. Changes to these terms

We may amend these Terms at any time by posting an updated version on this page with a revised "Last updated" date. Continued use of the Website or our services after such changes constitutes your acceptance of the revised Terms. Material changes will be communicated to active wholesale partners by email with at least 14 days' notice.
